1. Acceptance of Terms
By accessing or using the Apex Freight HUB website, mobile applications, APIs, or logistics services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use our Services. These Terms constitute a legally binding agreement between you ("User," "Customer," or "you") and Apex Freight HUB ("Apex," "we," "us," or "our").
2. Services Description
Apex Freight HUB provides a digital logistics platform that connects shippers with a global network of transportation providers. Our Services include:
- Freight forwarding and shipment booking (Air, Ocean, Road).
- Real-time tracking and visibility tools.
- Supply chain analytics and reporting.
- Customs brokerage coordination.
- Warehousing and distribution management.
We act as a freight forwarder and may engage third-party carriers (such as UPS, DHL, FedEx, Maersk, etc.) to perform the actual transportation of goods.
3. User Accounts & Security
To access certain features, you must register for an account. You agree to:
- Provide accurate, current, and complete account information.
- Maintain the security of your password and accept all risks of unauthorized access to your account.
- Promptly notify us if you discover or suspect any security breaches related to the Services.
Apex reserves the right to suspend or terminate accounts that provide false information or violate these Terms.
4. Shipment Conditions
4.1 Prohibited Items: You agree not to ship illegal, hazardous, or prohibited items as defined by applicable laws and carrier regulations. This includes, but is not limited to, explosives, illegal narcotics, and counterfeit goods.
4.2 Packaging: You are responsible for ensuring that all shipments are properly packaged, labeled, and prepared for transport in accordance with industry standards. Apex is not liable for damage resulting from improper packaging.
4.3 Accuracy of Information: You warrant that all information provided regarding the shipment (weight, dimensions, contents, value) is accurate. Any discrepancies may result in additional charges or delays.
5. Rates and Payment
Rates quoted are estimates based on the information provided. Final charges may vary based on actual weight, dimensions, and service requirements.
- Payment Terms: Unless otherwise agreed in a separate service agreement, payment is due upon booking or within the credit terms specified in your invoice.
- Duties and Taxes: The Customer is responsible for all duties, taxes, and customs fees unless DDP (Delivered Duty Paid) terms are explicitly agreed upon.
- Late Fees: Overdue payments may be subject to interest charges and suspension of service.
6. Liability and Insurance
Apex Freight HUB's liability is limited in accordance with applicable international conventions (such as the Montreal Convention for air freight or Hague-Visby Rules for ocean freight) and standard trading conditions.
We strongly recommend that Customers purchase cargo insurance for full value protection. Apex can arrange insurance upon written request for an additional fee.
7. Intellectual Property
The Services, including all content, software, graphics, and trademarks, are the property of Apex Freight HUB or its licensors and are protected by copyright and other intellectual property laws. You are granted a limited, non-exclusive license to use the Services for your internal business purposes.
8. Termination
We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the Services will immediately cease.
9. Governing Law
These Terms shall be governed and construed in accordance with the laws of Germany, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Hamburg, Germany.
